Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the use of the RecordRanks platform and any associated services (collectively, the "Service"), provided by Mintydev Ltd ("we", "our", "us").

By purchasing a RecordRanks subscription, you (the "Customer") agree to these Terms. If you do not agree with these Terms, you may not use the Service.

We may update these Terms from time to time. Any changes will be posted on the RecordRanks website and material changes will be communicated via email. The updated Terms will be effective 14 days after announcement, unless we provide a different effective date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Definitions

• RecordRanks Platform: The shared infrastructure hosted by Mintydev Ltd, which allows multiple Owners to create and manage their own Spaces.
• Space: A dedicated area for a sports community within the RecordRanks Platform, with its own competitions, events, Competitors, results, blog, and other user-generated content. Spaces can be public or private.
• Private Space: A Space where only Members can view its content, including what would otherwise be public (e.g., competitions, rankings).
• Custom Site: A dedicated website with a custom domain and a dedicated database, fully independent from the RecordRanks Platform. Custom Sites are provided to Customers on the Custom plan and are maintained by Mintydev Ltd. Websites using the RecordRanks software but not operated by Mintydev Ltd fall outside of this definition.
• Owner: The individual or entity that purchases a RecordRanks plan and gains access to manage their Space or Custom Site.
• Admin: A user assigned by the Owner, who has full access to the Space's data, including the email addresses of Space Members.
• Moderator: A user assigned by the Owner or by an Admin, who has limited access to competitions, competitor profiles, and results they create.
• Member: A regular user with membership in a particular Space or any user on a Custom Site. A Member is typically also a Competitor.
• Competitor: An individual who participates in competitions within a Space or Custom Site.
• Public Content: Content visible to anyone, including competitions pages, competition details, rankings, records, blog, and other public user-generated content.
• Private Content: Content not publicly visible, including Member email addresses, Member roles, and hidden competitions.

3. Accounts and Subscriptions

3.1 Registration

To use the Service, you must register for an account and provide accurate, complete, and up-to-date information. The minimum age to purchase a subscription is 13 years old, in accordance with UK contract law.

3.2 Subscription Plans

• Basic/Premium Plans: Hosted on the RecordRanks Platform, these plans include a 30 day free trial. No upfront payment details are required to start the trial.
• Custom Plan: Hosted as a Custom Site with a custom domain name and dedicated database, fully independent from the RecordRanks Platform. Additional features and pricing are agreed upon with the Customer.

3.3 Payment

• If you miss a payment, you will retain access to all existing content and data in your Space or Custom Site. However, you will no longer be able to create new competitions or competitor profiles until payment is resolved.
• No content is deleted on the RecordRanks Platform due to missed payments. A Custom Site may be taken down after the period agreed upon with the Customer (the data will remain available for the Customer to download).

4. Use of the Service

4.1 Owner Responsibilities

Owners are responsible for managing their Space or Custom Site in compliance with these Terms and all applicable laws. This includes assigning Admins and Moderators, and ensuring that all content and activities comply with legal and ethical standards.

4.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Posting or transmitting any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Using the Service for any fraudulent or unlawful purpose.
• Disrupting or interfering with the security of the Service or any third-party systems.

4.3 Competitor Rights

Competitors have the right to request the anonymisation of their personal details on the RecordRanks Platform or on a Custom Site.

• For Spaces: Mintydev Ltd will anonymise the Competitor's data and notify the Owner.
• For Custom Sites: Anonymisation requests are sent directly to the Owner and are carried out by them.

4.4 Public vs. Private Content

• Public Content is accessible to all users of the Service.
• Private Content is restricted to users with the appropriate roles within a Space (e.g., Admins and Moderators for private content, or Members of a Private Space for all content).

5. Data and Privacy

5.1 Data Ownership

You retain ownership of all data you create or upload to your Space or Custom Site, including competitions, events, results, and competitor profiles.

5.2 Data Export

Owners may request a full export of their Space's data, including competitions, events, results, competitor profiles, and Member email addresses. Requests can be submitted directly to Mintydev Ltd.

5.3 Privacy

Your use of the Service is also governed by our Privacy Policy.

6. Termination

6.1 By the Owner

Owners may cancel their subscription at any time via their account settings or by contacting us using the form on the Contact page. No refunds are provided outside of the 30 day free trial, except when explicitly agreed upon in writing with Mintydev Ltd.

6.2 By Mintydev Ltd

Mintydev Ltd may terminate or suspend your access to the Service if you breach these Terms. In such cases, you will receive 30 days' notice to remedy the breach (e.g., resolve non-payment).

6.3 Data Retention

• Spaces: Will not be deactivated unless explicitly requested by the Customer.
• Custom Sites: Will be deactivated upon termination unless otherwise agreed with the Customer.

For both Spaces and Custom Sites, all data remains archived until a deletion request is made.

7. Liability and Disclaimers

7.1 No Warranty

The Service is provided on an "as is" and "as available" basis. Mintydev Ltd does not warrant that the Service will be uninterrupted or fully error-free, except as explicitly agreed upon in writing with Customers on the Custom Plan.

7.2 Limitation of Liability

Mintydev Ltd shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or use, arising from your use of the Service or inability to use the Service.

7.3 Indemnification

You agree to indemnify and hold Mintydev Ltd harmless from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or the actions of users within your Space or Custom Site.

8. Intellectual Property

8.1 Mintydev Ltd's Intellectual Property

All intellectual property rights in the RecordRanks Platform, including but not limited to the branding, code, and technology, are owned by Mintydev Ltd.

8.2 User Intellectual Property

You retain all rights to your content. By uploading or creating content on the Service, you grant Mintydev Ltd a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute your content solely for the purposes of providing and promoting the Service.

9. Miscellaneous

9.1 Governing Law

These Terms are governed and construed in accordance with the laws of the United Kingdom.

9.2 Dispute Resolution

Any disputes arising from these Terms will first be attempted to be resolved through mediation in the United Kingdom.

9.3 Refunds

No refunds are offered outside of the 30 day free trial, except when explicitly agreed upon in writing with Mintydev Ltd.

9.4 Content Moderation

Mintydev Ltd will not be involved in content moderation unless the legal rights of users are breached or these Terms are violated (e.g., illegal content, harassment).

9.5 Third-Party Tools

Payments for the Service are processed via Revolut payment services. Stripe and PayPal may also be added as payment options in the future. By using the Service, you agree to comply with the terms of these third-party payment processors.

9.6 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

9.7 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Mintydev Ltd.

9.8 Entire Agreement

These Terms constitute the entire agreement between you and Mintydev Ltd regarding the Service and supersede all prior agreements or representations.
